Purpose and Scope of Application<\/b><\/p><p data-start=\"349\" data-end=\"804\">These General Conditions (hereinafter, &#8220;Conditions&#8221;) regulate the provision of legal services and professional advice (hereinafter, the &#8220;Services&#8221;) by <strong data-start=\"534\" data-end=\"620\">APNA ADVOCATS, S.P.L., operating under the name Mart\u00ednez &amp; Caballero Abogados<\/strong> (hereinafter, &#8220;M&amp;C Abogados&#8221;), with registered office at Plaza Tetuan 40-41, Planta 1\u00ba, Puerta 21, 08010 Barcelona, CIF B67183491, in favor of each client (hereinafter, the &#8220;Client&#8221;).<\/p><p data-start=\"806\" data-end=\"1047\">These Conditions shall apply to all professional assignments (hereinafter referred to as the &#8220;Assignment&#8221; or the &#8220;Assignments&#8221;) made by the Client, without prejudice to any specific conditions that may be agreed in writing for a particular matter.<\/p><p><b>2. General Principles<\/b><\/p><p data-start=\"1083\" data-end=\"1195\">The professional relationship is based on trust, transparency and collaboration between M&amp;C Abogados and the Client.<\/p><ul data-start=\"1196\" data-end=\"1563\"><li data-start=\"1196\" data-end=\"1339\"><p data-start=\"1198\" data-end=\"1339\">The Client shall provide truthfully and completely all the information and documentation necessary for the correct provision of the Services.<\/p><\/li><li data-start=\"1340\" data-end=\"1471\"><p data-start=\"1342\" data-end=\"1471\">M&amp;C Abogados will always act with independence, diligence and respect for the deontological and professional rules of the legal profession.<\/p><\/li><li data-start=\"1472\" data-end=\"1563\"><p data-start=\"1474\" data-end=\"1563\">The relationship will be one of leasing of services, with no obligation of result.<\/p><\/li><\/ul><p><b>Professional Services<\/b><\/p><p data-start=\"1602\" data-end=\"1739\">The scope and nature of the Services shall be specified at the beginning of each Order and may be subsequently modified by mutual agreement.<\/p><ul data-start=\"1740\" data-end=\"2038\"><li data-start=\"1740\" data-end=\"1870\"><p data-start=\"1742\" data-end=\"1870\">The Services will be provided by M&amp;C Abogados lawyers, who will be able to assign the most appropriate professional team to the case.<\/p><\/li><li data-start=\"1871\" data-end=\"2038\"><p data-start=\"1873\" data-end=\"2038\">The relationship is established only with the Client, without generating any legal relationship with related third parties (subsidiaries, partners, advisors, etc.), unless expressly agreed.<\/p><\/li><\/ul><p><b>4. Intervention of Other Professionals<\/b><\/p><p data-start=\"2089\" data-end=\"2262\">If the participation of other professionals (attorneys, notaries, experts, foreign lawyers, etc.) is necessary, the Client shall be responsible for hiring them.<\/p><ul data-start=\"2263\" data-end=\"2415\"><li data-start=\"2263\" data-end=\"2415\"><p data-start=\"2265\" data-end=\"2415\">M&amp;C Abogados may recommend external professionals and coordinate the management, but will not be responsible for their performance or the payment of their fees.<\/p><\/li><\/ul><p><b>5. Fees, Expenses and Billing<\/b><\/p><ul data-start=\"2463\" data-end=\"2972\"><li data-start=\"2463\" data-end=\"2587\"><p data-start=\"2465\" data-end=\"2587\">Fees will be agreed upon at the beginning of the assignment, and fixed rates, hourly rates or success percentages may be established.<\/p><\/li><li data-start=\"2588\" data-end=\"2739\"><p data-start=\"2590\" data-end=\"2739\">Expenses incurred (travel, taxes, translations, courier services, etc.) shall be paid by the Client and may require provision of funds.<\/p><\/li><li data-start=\"2740\" data-end=\"2848\"><p data-start=\"2742\" data-end=\"2848\">Invoices shall be payable at sight and, in any case, within a maximum period of 30 days from their issuance.<\/p><\/li><li data-start=\"2849\" data-end=\"2972\"><p data-start=\"2851\" data-end=\"2972\">In the event of early termination of the Order, the Client shall pay the fees and expenses accrued up to that time.<\/p><\/li><\/ul><p><b>6. Communications and Electronic Media<\/b><\/p><p data-start=\"3024\" data-end=\"3114\">Communications may be made by e-mail or other electronic means.<\/p><ul data-start=\"3115\" data-end=\"3317\"><li data-start=\"3115\" data-end=\"3233\"><p data-start=\"3117\" data-end=\"3233\">The Customer assumes the risks inherent in the electronic transmission of data (losses, viruses, interceptions).<\/p><\/li><li data-start=\"3234\" data-end=\"3317\"><p data-start=\"3236\" data-end=\"3317\">Instant messaging will not be used for formal legal advice.<\/p><\/li><\/ul><p><b>7. Confidentiality and Professional Secrecy<\/b><\/p><p data-start=\"3371\" data-end=\"3550\">All information and documentation provided by the Client shall be subject to the duty of professional secrecy, which shall survive even after the end of the contractual relationship.<\/p><ul data-start=\"3551\" data-end=\"3655\"><li data-start=\"3551\" data-end=\"3655\"><p data-start=\"3553\" data-end=\"3655\">Information will only be disclosed when there is a legal obligation or when required by a competent authority.<\/p><\/li><\/ul><p><b>8. Prevention of Money Laundering and Financing of Terrorism<\/b><\/p><p data-start=\"3737\" data-end=\"3897\">In accordance with the regulations in force, M&amp;C Abogados may request identification documentation of the Client and his professional or business activity.<\/p><ul data-start=\"3898\" data-end=\"4084\"><li data-start=\"3898\" data-end=\"4084\"><p data-start=\"3900\" data-end=\"4084\">It may be necessary to report suspicious transactions to the authorities, without the possibility of informing the Customer of such reporting, and may involve the suspension of Services.<\/p><\/li><\/ul><p><b>9. Intellectual Property<\/b><\/p><p data-start=\"4121\" data-end=\"4209\">The works and documents prepared by M&amp;C Abogados are its intellectual property.<\/p><ul data-start=\"4210\" data-end=\"4357\"><li data-start=\"4210\" data-end=\"4285\"><p data-start=\"4212\" data-end=\"4285\">The Customer may use them exclusively for the purposes of the Order.<\/p><\/li><li data-start=\"4286\" data-end=\"4357\"><p data-start=\"4288\" data-end=\"4357\">Disclosure to third parties requires express written authorization.<\/p><\/li><\/ul><p><b>10. Preservation and Storage of Documentation<\/b><\/p><p data-start=\"4420\" data-end=\"4600\">M&amp;C Abogados will keep the Client&#8217;s documentation for the duration of the Order and thereafter for the legally established time periods in order to attend to possible liabilities.<\/p><ul data-start=\"4601\" data-end=\"4731\"><li data-start=\"4601\" data-end=\"4731\"><p data-start=\"4603\" data-end=\"4731\">It may be stored in physical or digital support, including cloud services, adopting the necessary security measures.<\/p><\/li><\/ul><p><b>11. Scope and Limitations of Liability<\/b><\/p><ul data-start=\"4789\" data-end=\"5152\"><li data-start=\"4789\" data-end=\"4923\"><p data-start=\"4791\" data-end=\"4923\">M&amp;C Abogados shall only be liable for direct damages caused by wilful misconduct or gross negligence in the provision of the Services.<\/p><\/li><li data-start=\"4924\" data-end=\"5042\"><p data-start=\"4926\" data-end=\"5042\">Any complaint must be made in writing within 2 years after the end of the assignment.<\/p><\/li><li data-start=\"5043\" data-end=\"5152\"><p data-start=\"5045\" data-end=\"5152\">Liability shall be limited to the total amount of the fees paid for the assignment in question.<\/p><\/li><\/ul><p><b>12. Termination of the Order<\/b><\/p><p data-start=\"5192\" data-end=\"5348\">Both the Client and M&amp;C Abogados may terminate the professional relationship at any time, with sufficient notice in order to avoid defencelessness.<\/p><ul data-start=\"5349\" data-end=\"5453\"><li data-start=\"5349\" data-end=\"5453\"><p data-start=\"5351\" data-end=\"5453\">In the event of termination, the Client shall pay the fees and expenses accrued up to that date.<\/p><\/li><\/ul><p><b>13. Protection of Personal Data<\/b><\/p><p data-start=\"5500\" data-end=\"5634\">M&amp;C Abogados will process the Client&#8217;s personal data in accordance with Regulation (EU) 2016\/679 (GDPR) and the applicable Spanish regulations.<\/p><ul data-start=\"5635\" data-end=\"6183\"><li data-start=\"5635\" data-end=\"5816\"><p data-start=\"5637\" data-end=\"5816\">It may be necessary to access data of third parties related to the Client (employees, counterparties, witnesses), which will be processed exclusively for the provision of the Services.<\/p><\/li><li data-start=\"5817\" data-end=\"5941\"><p data-start=\"5819\" data-end=\"5941\">At the end of the Order, the data will be kept for the legal periods necessary to meet responsibilities.<\/p><\/li><li data-start=\"5942\" data-end=\"6183\"><p data-start=\"5944\" data-end=\"6183\">The Customer may exercise their rights of access, rectification, deletion, opposition, portability and limitation of processing by written request to <a class=\"decorated-link cursor-pointer\" rel=\"noopener\" data-start=\"6101\" data-end=\"6180\">info@martinezcaballeroabogados.com<\/a>.<\/p><\/li><\/ul><p><b>14. Modification of the General Conditions<\/b><\/p><p data-start=\"6241\" data-end=\"6350\">M&amp;C Abogados may modify these Conditions due to regulatory, ethical or internal policy changes.<\/p><ul data-start=\"6351\" data-end=\"6446\"><li data-start=\"6351\" data-end=\"6446\"><p data-start=\"6353\" data-end=\"6446\">The modifications shall apply to the Orders subsequent to their publication or communication.<\/p><\/li><\/ul><p><b>15.
